These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you”, “User”, or “Customer”) and SIA WIRECT TECHNOLOGIES (“we”, “our”, “us”, or “CodeWaiver”), governing your access to and use of the CodeWaiver platform available at www.codewaiver.com and its associated services (collectively, the “Service”).

The Service provides tools to build, host, and manage websites without requiring any coding skills.

1. Account Registration

To use our platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify us immediately if you suspect unauthorized access.

2. Eligibility

By using our Services, you confirm that:

• You are at least 16 years of age;
• You have full legal capacity to enter into this agreement;
• All information you submit is truthful and accurate.

3. Your Content and Responsibility

You are solely responsible for the content you upload to or create using our platform, including but not limited to images, text, logos, and design elements. You retain all rights to your content but grant CodeWaiver a limited license to store, display, and serve that content as necessary for the operation of the Service.

You agree not to use the Service for:

• Illegal, offensive, or harmful content;
• Infringement of intellectual property rights;
• Hosting malware or phishing content;
• Activities that could damage or impair the Service.

4. Subscription, Fees & Billing

Our platform operates under a paid subscription model. You agree to pay all applicable fees as described on our website or your Order Form. Fees are charged in advance and are non-refundable unless otherwise stated in our Refund Policy.

If you dispute a charge via a chargeback, we may suspend or terminate your account.

Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date.

5. Cancellation & Termination

You may cancel your subscription at any time through your account settings or by written notice. Upon cancellation, your content and website may be deleted. We reserve the right to suspend or terminate your access for violation of these Terms or any applicable law.

6. Service Availability

We aim to ensure high service uptime but do not guarantee uninterrupted access. We reserve the right to modify or discontinue any feature or aspect of the Service at any time without prior notice.

7. Intellectual Property

All platform content and software is owned by or licensed to CodeWaiver. You may not reverse-engineer, modify, or resell any part of the platform unless explicitly allowed under your reseller agreement.

8. Third-Party Services

Some platform features may integrate with third-party services (e.g., Stripe, domain providers). We are not liable for the performance or availability of third-party services or any content hosted through them.

9. Limitation of Liability

To the fullest extent permitted by law, CodeWaiver shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless CodeWaiver and its affiliates, officers, and employees from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service or breach of these Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Republic of Latvia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Latvia.

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the platform. Continued use of the Service constitutes acceptance of the revised Terms.
